Joe Wallin // Startups & Growth Companies. Financings. Exits.

I am a startup and corporate transactions attorney in Seattle. My practice falls into three broad categories:

  1. Startups & Emerging Companies
  2. Angel & Venture Financings
  3. Mergers & Acquisitions

I represent companies from inception to exit, and provide general counsel services along the way. For example, I regularly help companies with contracts of all kinds, and help them adopt and administer stock option and other forms of equity compensation plans and arrangements. I also represent investors in companies, as well as executives and founders. You can reach me at (206) 757-8184, or via email at [email protected] You can follow me on Twitter at @joewallin. I am a frequent public speaker, and happily entertain offers to speak.

Crowdfunding

Washington State Equity Crowdfunding Law

I was the “ideator” for Washington State’s equity crowdfunding law. In July of 2012, I wrote about this idea on this blog. In that blog post, I proposed the first draft of the bill. This blog post later appeared in GeekWire.com. In the 2013 legislative session, I testified in favor of the idea and several legislators, including Cyrus Habib, sponsored the bill. The bill came too late in the 2013 session, but was renewed in the 2014 session. I testified twice during that session in favor of the bill, both the House and the Senate approved it, and the Governor signed the bill into law on March 27, 2014. I have been actively involved throughout the regulatory process since that time. This bill allows companies to raise up to $1 million per year from both accredited and non-accredited investors. I have written about crowdfunding for Xconomy, and have appeared on NPR and on HuffPost TV to talk about crowdfunding.
